Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TaxHeed, an AI-powered tax deductibility assistant (“TaxHeed,” “we,” “us,” or “our”). By joining our waitlist, creating an account, or otherwise using our website or product (the “Service”), you agree to these Terms.

If you do not agree, do not use the Service.

1. Who we are

2. What TaxHeed is — and isn't

TaxHeed answers deductibility questions using AI, citing the relevant tax law article for each answer, and provides supporting tools such as expense dashboards, reports, and client management for accounting professionals.

TaxHeed is not a substitute for professional tax or legal advice. Every answer includes a confidence score reflecting how settled the underlying law is on that question. Answers marked as requiring review, and any answer with a confidence score below a level you consider reliable, should be verified with a qualified accountant or tax advisor before you rely on them for a filing or financial decision. You remain solely responsible for the accuracy of your tax filings and for decisions made using the Service.

3. Eligibility and account registration

  • You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service.
  • If you register on behalf of a business or accounting practice, you confirm you are authorized to bind that entity to these Terms.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You agree to provide accurate registration information and keep it up to date.

4. The waitlist

Joining the waitlist does not guarantee access to the Service, a specific launch date, or any particular pricing. We may invite waitlist members in any order, at our discretion. You may unsubscribe from the waitlist at any time.

5. Subscriptions and payment

During the current demo/beta phase, TaxHeed is available free of charge unless otherwise stated. Once paid subscriptions launch:

  • Certain features require a paid subscription. Current pricing tiers (e.g. Freelance, Small & Medium Enterprise, Enterprise) are listed on our pricing page and may change with notice.
  • Some tiers include a limited number of free questions per month; usage beyond that limit may be billed per question or require an upgraded plan.
  • Fees are billed in advance on a recurring basis (monthly or annually, as selected) and are non-refundable except where required by law.
  • We use a third-party payment processor to handle billing; we do not store your full payment card details.
  • We may change pricing with reasonable advance notice to active subscribers; continued use after a price change takes effect constitutes acceptance.
  • You may cancel your subscription at any time from Settings; cancellation takes effect at the end of the current billing period.

6. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, including tax fraud or evasion.
  • Attempt to reverse-engineer, scrape, or extract the underlying AI models or legal knowledge base beyond normal product use.
  • Share your account credentials with unauthorized users, or exceed the seat/user limits of your plan.
  • Upload documents you do not have the legal right to submit, or that contain data unrelated to legitimate tax and expense assessment.
  • Interfere with, overload, or attempt to disrupt the Service's infrastructure.
  • Use the Service to build a competing product.

We may suspend or terminate accounts that violate this section.

7. Your content

  • You retain ownership of the documents, expense data, questions, and other content you submit to the Service (“Your Content”).
  • You grant us a limited license to process Your Content solely to provide and improve the Service, as described in our Privacy Policy.
  • You are responsible for ensuring Your Content is accurate and that you have the right to submit it, including client data you input on behalf of a third party (see Section 8).
  • We may remove content that violates these Terms or applicable law.

8. Accounting practice / client data

If you use TaxHeed's client management features as an accountant or firm, you act as the data controller for your clients' data, and TaxHeed acts as a data processor under your instructions. You are responsible for having a lawful basis to share your clients' data with TaxHeed and for informing your clients accordingly. A data processing agreement is available on request for practice-tier accounts.

9. AI-generated content and accuracy

  • Answers, confidence scores, and citations generated by TaxHeed are produced by an AI system trained and configured to reference applicable tax law. While we work to keep the underlying legal knowledge current, tax law changes frequently and may vary by jurisdiction, and AI systems can make mistakes.
  • We do not guarantee that any answer is complete, current, or error-free, and answers do not constitute formal tax, legal, or financial advice.
  • You should independently verify any answer before relying on it, particularly for filings, audits, or decisions with financial or legal consequences.

10. Intellectual property

The Service, including its software, design, branding, and underlying technology, is owned by TaxHeed and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service as intended.

11. Availability and changes to the Service

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practical, particularly during the pre-launch and early-access phases when the product is still evolving.

12. Limitation of liability

To the maximum extent permitted by applicable law:

  • The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, or consequential damages, including lost profits, arising from your use of the Service.
  • Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.
  • Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or death or personal injury.

13. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or expenses arising from your violation of these Terms, your misuse of the Service, or Your Content, except to the extent caused by our own breach or negligence.

14. Termination

  • You may stop using the Service and close your account at any time via Settings.
  • We may suspend or terminate your access if you materially breach these Terms, engage in unlawful use, or fail to pay applicable fees, with notice where reasonably possible.
  • Upon termination, your right to use the Service ends immediately; provisions that by their nature should survive (e.g. intellectual property, limitation of liability, indemnification) will continue to apply.

15. Governing law and disputes

These Terms will be governed by the law of the jurisdiction in which TaxHeed is incorporated, once incorporation is complete. Until then, they are intended to be interpreted in good faith and in a manner consistent with standard EU consumer and data protection law. Any dispute will be resolved in the courts with jurisdiction over TaxHeed once its registered seat is established, except where mandatory consumer protection law gives you the right to bring a claim in your own jurisdiction.

16. Changes to these Terms

We may update these Terms as the Service evolves. We will post the updated version here with a new “Last updated” date, and for material changes, we will provide notice by email or in-product notification before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
